TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO PIZZA LUCE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

The limitations of liability set forth above are fundamental elements of the basis of the bargain between Pizza Luce and you. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you to the extent required by applicable law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Pizza Luce, its parent company, subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

We will attempt to resolve the dispute informally within thirty (30) days of receipt of your notice. If the dispute cannot be resolved informally within this period, either party may pursue formal dispute resolution as described below.

EXCEPT FOR CLAIMS FOR EMERGENCY INJUNCTIVE RELIEF, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, YOUR USE OF OUR SERVICES, OR ANY PRODUCTS PURCHASED THROUGH OUR WEBSITE SHALL BE RESOLVED BY BINDING ARBITRATION RATHER THAN IN COURT. You and Pizza Luce agree to submit to binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at www.adr.org.

The arbitrator shall have the authority to award the same remedies and relief on an individual basis that a court of competent jurisdiction could award. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

10.3 Class Action Waiver

YOU AND PIZZA LUCE EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. If this waiver is found to be unenforceable, then the entirety of this arbitration provision shall be void and of no force or effect.

10.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in any court of competent jurisdiction to protect their intellectual property rights or confidential information pending the outcome of arbitration. You may also file individual claims in small claims court if your claims qualify under the applicable rules of such court.

10.5 Arbitration Costs

The costs of arbitration shall be allocated in accordance with the AAA Consumer Arbitration Rules. If you prevail in arbitration, we will reimburse your arbitration filing fees. If we prevail in arbitration, we will not seek reimbursement of our arbitration costs unless the arbitrator finds that your claim was frivolous or brought in bad faith.

11. Term and Termination
